In
parallel with the Korean government policy to open the pharmaceutical market to
foreign competition, Zuellig Pharma Korea (hereinafter called ¡°ZPK") set out its
distribution business in this territory on April 2000 and thereafter, signed an
exclusive distribution agreement with 17 multinational drug makers. Under the
contract, ZPK¡¯s associate wholesalers only were empowered to distribute the
prescription medicines of 17 multinationals to 20,000 pharmacies across the
nation.
For
the past seven years, ZPK has demanded its associate wholesalers achieve the
targeted sales of over-the-counter (OTC) drugs based upon the conditional supply
of prescription medicines through several occasions of forcible contract
renewals, whilst reducing its wholesaler margin via one-sided termination notice
of agreement even before expiration. From 2003 on, lowering wholesaler margin
and increase of targeted sales amount have been the most debated issues during
the negotiations between ZPK and its associate wholesalers.
As
you may fully aware, the gap of market share between ethical products and OTCs
has been widened until the ratio of 82: 18, since a new prescription system was
adopted on July 2000, whereby prescriptions are filled at pharmacies and not the
hospitals where prescriptions are written. During such period, Zuellig's tighter
margin policy has badly affected the overall wholesaling industry, let alone its
initial strong will to contribute to the local pharmaceutical
industry.
It
looks like they got what they wanted. However, ZPK and its associate wholesalers
and ZPK came across serious disputes again on the wholesaler margin when ZPK
provoked wholesalers¡¯ angers by suggesting lower margins than the previous year
at the renewal of the contracts, which would be expired on May 31. As a result,
associate wholesalers made their painful decision to boycott the renewal of
agreement to protest ZPK¡¯s tighter margin policy, unless the latter withdraw its
plan to lower the wholesaler margin and sales incentive.
There
have been rising concerns about the delay of drug supply as ZPK¡¯s associate
wholesalers decided to boycott the renewal of agreement to protest Zuellig
Korea's margin policy as they will be unable to supply the prescription
medicines of the 17 multinational drug makers to 20,000 pharmacies nationwide on
and from the middle of this June. If feuds between the two camps continue
without remedies, this may pose a significant threat to the public health in its
outcome.
To
cope with this matter, the Korea Pharmaceutical Wholesalers Associationhas
expressed its own position to the Korea Pharmaceutical Association on May 31,
and the Korea Medical Association and Korean Hospital Association on June 4, as
part of efforts to discuss with them the negative impact caused by the exclusive
contract between 17 multinational drug manufacturers and ZPK.
Considering
that the business interests cannot take precedence over public interests, we
would propose that the exclusive distribution agreement be terminated
immediately and that the 17 multinational drug makers need to expand a direct
business with wholesalers within the shortest period to avoid any drug shortage
for 20,000 pharmacies.We would also demand the following matters to our mutual
benefits.

wholesalers per region without reservation, to meet the drug demand of 20,000
pharmacies across the nation;

agree to rewrite them in mutually acceptable clauses

Thirdly, ZPK should accept the returned goods which are damaged or unused at
pharmacy;

Fourthly, ZPK should provide wholesalers with reasonable margin without
irrational sales target, and

Lastly, interested parties should bear the mutual collateral risks.
